THIS AGREEMENT is made and entered into as of this 13th day of July, 2005, by and between the ADVISOR SERIES TRUST, a Delaware statutory trust (the “Trust”) and QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”). Pacific Income Advisers, Inc., a ____________ corporation and the investment advisor to the Trust (the “Advisor”), is a party hereto with respect to Section 5 only.

THIS INVESTMENT ADVISORY AGREEMENT is made as of the 13th day of September, 2004, by and between Advisors Series Trust, a Delaware business trust (hereinafter called the "Trust"), on behalf of the following series of the Trust, PIA Short-Term Government Securities Fund, PIA Equity Fund, PIA Total Return Bond Fund and PIA BBB Bond Fund (collectively, the "Funds") and Pacific Income Advisers, Inc., a Delaware corporation (hereinafter called the "Advisor").
