THIS AGREEMENT is made and entered into as of this 30 day of September, 2005, by and between BRIDGES INVESTMENT MANAGEMENT, INC., a Nebraska corporation (the “Manager”) on behalf of the BRIDGES INVESTMENT FUND, INC., a Nebraska corporation (the “Fund”) and U.S. BANCORP FUND SERVICES, LLC, a Wisconsin limited liability company (“USBFS”).
