THIS AGREEMENT is made and entered into this 4th day of October, 2006, by and between ADVISOR SERIES TRUST, a Delaware business trust (the “Trust”), on behalf of its fund the Teberg Fund and QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”). FIRST ASSOCIATED INVESTMENT ADVISORS, INC., the investment advisor to the Fund (the “Advisor”), is a party hereto with respect to Section 5 only.

THIS AMENDMENT dated as of the 5th day of June, 2008, to the Custody Agreement, dated as of June 6, 2006, as amended (the "Custody Agreement"), is entered into by and between Advisors Series Trust, a Delaware statutory trust (the "Trust") on behalf of its separate series, the Teberg Fund and U.S. Bank National Association, a national banking association (the "Custodian").
