THIS AGREEMENT is made and entered into as of this 1st day of May, 2010, by and between THE WALL STREET FUND, INC., a Maryland corporation (the "Company") and QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”). This Agreement supersedes and replaces the Sub-Distribution Agreement dated March 24, 2003 by and among The Wall Street Fund, Inc., Wall Street Management Corporation and Quasar Distributors, LLC.

THIS AGREEMENT, made and entered into as of this 1st day of May, 2010, by and between EVERCORE WEALTH MANAGEMENT, LLC, a Delaware limited liability company (hereinafter referred to as the “Adviser”), and THE WALL STREET FUND, INC., a Maryland corporation (hereinafter referred to as the “FUND”), was approved by the Fund’s shareholders at a special meeting thereof on February 25, 2010.
