THIS INVESTMENT SUB-ADVISORY AGREEMENT (hereinafter, the “Agreement”) is made as of the 21st day of July, 2011, and amended as of as of the 23rd day of August, 2013 by and among William Blair & Company, L.L.C., a Delaware limited liability company, located at 222 West Adams Street, Chicago, IL 60606 (the “Sub-Advisor”) and Envestnet Asset Management, Inc., a Delaware corporation located at 35 East Wacker Drive, Suite 2400, Chicago, IL 60601 (the “Advisor”).
