THIS FIRST AMENDMENT dated as of the 1st day of July, 2017, to the Investment Advisory Agreement, dated as of February 16, 2012 (the “Agreement”), is entered into by and between Managed Portfolio Series, a Delaware statutory trust (“Trust”) and AC ONE Asset Management, LLC, a Delaware Limited Liability Company (the “Adviser”), and, with respect to Sections 1(c)(i), 1(c)((viii), and 6(i) only, AssePlus Investment Management Corp., a California Corporation, AssetPlus Investment Management Co. Ltd., a South Korean Corporation and Chelsea Counsel Company, a California Corporation.
