This INVESTMENT SUB-ADVISORY AGREEMENT (the “Agreement”) is made as of this 11th day of April, 2019 by and between Acquirers Funds, LLC, a California limited liability company with its principal place of business at 415 North Camden Drive, Suite 223, Beverly Hills, California 90210 (the “Adviser”), ETF SERIES SOLUTIONS (the “Trust”), and CSat Investment Advisory, L.P., doing business as Exponential ETFs, a Delaware limited partnership with its principal place of business located at 625 Avis Drive, Ann Arbor, Michigan 48108 (the “Sub-Adviser”).

THIS FEE WAIVER AGREEMENT (the “Agreement”) is entered into by and between ETF Series Solutions, a Delaware statutory trust (the “Trust”), on behalf of The Acquirers Fund (the “Fund”), a series of the Trust, and Acquirers Funds, LLC (the “Adviser”), the Fund’s investment adviser.
