This Addendum dated as of the 29th day of August, 2019 is entered into by and between Cushing Mutual Funds Trust (the “Trust”), a statutory trust duly organized and existing under the laws of the State of Delaware, and Cushing Asset Management, LP, a limited partnership duly organized and existing under the laws of the State of Texas (the “Investment Adviser”).

This letter agreement (the "Agreement") confirms the temporary fee waiver by Cushing Asset Management, LP (the "Adviser") with respect to the advisory fees received in connection with the management of The Cushing Small Cap Growth Fund (the "Fund"), a series of Cushing Mutual Funds Trust (the "Trust").
