This INVESTMENT SUB-ADVISORY AGREEMENT (the “Agreement”) is made as of this 1st day of October, 2021 by and between ClearShares LLC, a Delaware limited liability company with its principal place of business at 420 Lexington Avenue, Suite 428, New York, New York, 10170, (the “Adviser”), ETF SERIES SOLUTIONS (the “Trust”), and Blueprint Investment Partners, a North Carolina limited partnership with its principal place of business located at 1250 Revolution Mill Dr., Suite 150, Greensboro, North Carolina 27405 (the “Sub-Adviser”).

THIS FEE WAIVER AGREEMENT (the “Agreement”) is entered into by and between ETF Series Solutions, a Delaware statutory trust (the “Trust”), on behalf of the ClearShares OCIO ETF (“OCIO”) and the ClearShares Piton Intermediate Fixed Income ETF (“PIFI”), each a series of the Trust, and ClearShares, LLC (the “Adviser”), the investment adviser to OCIO and PIFI.
