THIS AMENDMENT, effective as of July 29, 2024, to the Amended and Restated Custody Agreement, dated as of May 20, 2013, as amended (the “Agreement”), is entered into by and between KORNITZER CAPITAL MANAGEMENT, INC. (the “Advisor”), BUFFALO FUNDS, a Delaware statutory trust (the “Trust”) and its series, as listed on Exhibit C, as the parties may amend, (collectively, the “Buffalo Funds” or the “Funds” and each, individually, a “Fund”) and U.S. BANK NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America with its principal place of business at Minneapolis, Minnesota (“Custodian”).
