THIS AGREEMENT is made this __________, 2005 by and between Atlantic Whitehall Funds Trust, a Delaware statutory trust (the "Trust") with respect to its series of shares (each, a "Fund" and collectively, the "Funds") shown on Appendix A attached hereto, as it may be amended from time to time, and Atlantic Trust Advisors, Inc., a New York corporation (the "Advisor").
