THIS CHANGE IN CONTROL AGREEMENT (the “Agreement”), effective as of August 10, 2016 (the “Effective Date”), is made and entered into by and between VAALCO Energy, Inc., a Delaware corporation (hereafter “Company”) and Elizabeth Prochnow (hereafter “Employee”). The Company and Employee may sometimes hereafter be referred to singularly as a “Party” or collectively as the “Parties.”
