Bank of America Corporation, a Delaware corporation (the "Corporation"), has authorized and proposes to issue and sell from time to time in the manner contemplated by this Agreement its Senior Medium-Term Notes, Series K (the "Senior Notes") and its Subordinated Medium-Term Notes, Series K (the "Subordinated Notes," and together with the Senior Notes, the "Notes").
