This Employment Agreement (this "Agreement") by and among BANCORP, an Oregon corporation (the "BANCORP"), PREMIERWEST BANK, an Oregon state chartered bank (the "BANK") (PREMIERWEST BANK and the BANK are, collectively, referred to as "PREMIERWEST") and BOBBY L. This Incentive Stock Option Agreement is made and entered into pursuant to the terms of the Stock Option Plan dated March 28, 2002 (the "Plan") adopted by the Board of Directors and Shareholders of PremierWest Bancorp, an Oregon corporation (the "Company"). Unless otherwise defined herein, capitalized terms defined in this Incentive Stock Option Agreement shall have the meanings as defined in the Plan.
