This Separation, Consulting and Release Agreement (this “Agreement”) is entered into by and among Lithia Motors, Inc., Lithia Motors Support Services, Inc. (collectively referred to as “Lithia”), and Jeffrey B. DeBoer (the “Executive”). This Agreement is dated for reference purposes as of June 4th, 2010, which is the date this Agreement was delivered to Executive (the “Delivery Date”).
