THIS TOLL PROCESSING AGREEMENT (the “Agreement”) is entered into as of the 23rd day of September, 2004, by and between NORTHLAND CRANBERRIES, INC., a Wisconsin corporation (“Northland”), and OCEAN SPRAY CRANBERRIES, INC., a Delaware corporation (“Ocean Spray”).

This ASSET PURCHASE AGREEMENT (the “Agreement”) is made and entered into as of September 23, 2004, by and between Ocean Spray Cranberries, Inc., a Delaware corporation (“Buyer”), and Northland Cranberries, Inc., a Wisconsin corporation (the “Company”).

THIS OPTION AGREEMENT (this “Agreement”) is made and entered into as of this 23rd day of September, 2004, by and between OCEAN SPRAY CRANBERRIES, INC., a Delaware corporation (“Buyer”), and NORTHLAND CRANBERRIES, INC., a Wisconsin corporation (the “Company”). (Buyer and the Company are sometimes referred to herein individually as a “Party”, and collectively as the “Parties”).
