FIRST SUPPLEMENTAL INDENTURE (this “Supplemental Indenture”) dated as of December 9, 2004, between REGAL-BELOIT CORPORATION, a Wisconsin corporation (the “Company”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association, as trustee under the Indenture referred to below (the “Trustee”).
