Donnelley & Sons Company, a Delaware corporation (“Parent”), and Soda Acquisition, Inc., a Wisconsin corporation and a wholly owned subsidiary of Parent (“Merger Sub,” the Company and Merger Sub sometimes being hereinafter collectively referred to as the “Constituent Corporations”).
