This Employment Agreement (the “Agreement”) is entered into by and between Flanders, Corporation (the “Company”), and Harry Smith (“Executive”), as of December 1, 2008 (the “Effective Date”). This Agreement is intended to comply with the requirements of Sections 409A of the Internal Revenue Code of 1986, as amended and shall be interpreted in a manner consistent with that intention.
