This Employment Agreement (the “Agreement”) is entered into by and between Flanders Corporation (the “Company”), and John C. Oakley (“Executive”), effective as of January 28, 2009 (the “Effective Date”). This Agreement is intended to comply with the requirements of Section 409A of the Internal Revenue Code of 1986, as amended and shall be interpreted in a manner consistent with that intention.
