This CREDIT AGREEMENT (this “Agreement”) dated as of December 7, 2012 is among DONALDSON COMPANY, INC., a Delaware corporation (the “Company”), the subsidiaries listed on the signature pages hereof or which from time to time become parties hereto pursuant to Section 2.15 (each a “Borrowing Subsidiary” and collectively the “Borrowing Subsidiaries”), each lender from time to time party hereto (collectively, the “Lenders” and individually, each a “Lender”) and WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent and L/C Issuer.
