This Agreement is between the TIFF Investment Program, Inc. (“TIP”), a Maryland Corporation, for its TIFF Multi-Asset Fund (the “Fund”), and Marathon Asset Management LLP, a registered investment adviser under the Investment Advisers Act of 1940 (the “Manager”), and is effective as of July 1, 2007 (the “Effective Date”).
