This Agreement is between the TIFF Investment Program, Inc. (“TIP”), a Maryland Corporation, for its TIFF Multi-Asset Fund, and such other of its Funds as TIP and the Manager (as defined below) may agree upon from time to time (the “Fund”), and KG Redding, LLC, a registered investment adviser under the Investment Advisers Act of 1940 (the “Manager”) and is effective as of November 16, 2007 (the “Effective Date”).
