WHEREAS, in consideration for Learning Tree International’s employment and continued employment of Nicholas R. Schacht (hereinafter referred to as “Employee”), Learning Tree International, Inc. (hereinafter referred to as “Company”) and Employee desire to enter into this Agreement to set forth the terms and conditions of such employment effective September 23, 2002.

This will confirm our agreement to extend, until September 30, 2003, the term of your Employment Agreement dated as of October 1, 2001. All of the other terms of the Employment Agreement will remain as they have been.

This will confirm our agreement to extend, until September 30, 2004, the term of your Employment Agreement dated as of October 1, 1995. All of the other terms of the Employment Agreement will remain as they have been.
