COLUMBIA ACORN TRUST, a Massachusetts business trust registered under the Investment Company Act of 1940 as an open-end diversified management investment company (“Acorn”), WANGER ADVISORS TRUST, a Massachusetts business trust registered under the Investment Company Act of 1940 as an open-end diversified management investment company (“WAT”), COLUMBIA WANGER ASSET MANAGEMENT, L.P., a Delaware limited partnership and investment adviser to Acorn and WAT (“CWAM”), COLUMBIA MANAGEMENT DISTRIBUTORS, INC., a Massachusetts corporation (“CMD”), and COLUMBIA MANAGEMENT SERVICES, INC., a Massachusetts corporation (“CMS”) (each an “Insured” and collectively, the “Insureds”) agree:
