THIS AGREEMENT is made and entered into as of this 3rd day of October, 2011, by and between BRANDYWINE FUND, INC. (the “Company”) and QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”). FRIESS ASSOCIATES, LLC, the investment advisor to the Company (the “Advisor”), is a party hereto with respect to Section 5 only.
