This AGREEMENT (this “Agreement”) is made as of June 5, 2008 (the “Effective Date”) by and between HealthMarkets, Inc. (formerly UICI), a Delaware corporation (together with its successors and assigns, the “Company”), and Phillip Hildebrand (“Optionee”).
