THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of August 19, 2011, by and between BERRY PLASTICS CORPORATION, a Delaware corporation (“Buyer”), and LINPAC USA HOLDINGS INC., a Delaware corporation (“Seller”).
