THIS MEMBERSHIP INTEREST PURCHASE AGREEMENT is made as of June 18, 2015 (this “Agreement”), by and between Sherwood Valve Products, Inc., an Ohio corporation, and wholly-owned subsidiary of Mueller Industries, Inc.
