This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”) is made as of this 14th day of November, 2014, by and between Intersections Inc., a Delaware corporation, with offices at 3901 Stonecroft Boulevard, Chantilly, Virginia 20151 (the “Corporation”) and Michael R. Stanfield, an individual, residing at 3186 Burrland Lane, The Plains, VA 20198 (the “Executive”).

WHEREAS, the Corporation has established the 2006 Stock Incentive Plan (the “Plan”) pursuant to which restricted stock units (the “RSUs”) have been granted to the Holder from time to time; and
