This Termination Agreement (“Termination Agreement”) is made and entered into as of March 10, 2020, by and among Mr. Alexander C. Kinzler and the Estate of Morton Kinzler (the “Estate”) (each a “Party,” and collectively the “Parties”). Reference is hereby made to the Statement of Beneficial Ownership on Schedule 13D filed with the Securities and Exchange Commission by the Parties (as amended to date, the “Schedule 13D”).
