SECOND AMENDED AND RESTATED LOAN AGREEMENT dated as of October 25, 2006 (“Agreement”) among MOOG INC., a New York corporation with its principal place of business at Jamison Road and Seneca Street, East Aurora, New York 14052-0018 (“Borrower”), the several banks and other financial institutions from time to time parties to this Agreement (individually, a “Lender” and collectively, the “Lenders”) and HSBC BANK USA, NATIONAL ASSOCIATION, a bank organized under the laws of the United States of America, with an office at Commercial Banking Department, One HSBC Center, Buffalo, New York 14203 as Administrative Agent for the Lenders, Swingline Lender, an Issuing Bank and as the Arranger, and MANUFACTURERS AND TRADERS TRUST COMPANY as Syndication Agent, and BANK OF AMERICA, N.A. as a Co-Documentation Agent and JPMORGAN CHASE BANK, N.A. as a Co-Documentation Agent.
