The shareholders listed on Schedule I hereto (the “Selling Shareholders”) of Fidelity National Information Services, Inc., a corporation organized and existing under the laws of Georgia (the “Company”), propose, subject to the terms and conditions stated herein, to sell (the “Offering”) to Bear, Stearns & Co. Inc. (the “Underwriter”) an aggregate of 5,546,600 shares (the “Shares”) of the Company’s Common Stock, par value $0.01 per share (the “Common Stock”).
