This Registration Rights Agreement (the “Agreement”) is made and entered into this 15th day of December, 2004, among Stone Energy Corporation, a Delaware corporation (the “Company”), and Banc of America Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Goldman, Sachs & Co., Greenwich Capital Markets, Inc., Howard Weil Incorporated and Johnson Rice & Company L.L.C.
