SECURITIES PURCHASE AGREEMENT, dated as of September 19, 2005 (this “Agreement”), between TRESTLE HOLDINGS INC., a Delaware corporation with principal executive offices at 199 Technology Dr, Suite 105, Irvine, California 92618 (the “Company”), and SBI BRIGHTLINE XII LLC, a Delaware limited liability company with its principal offices at 610 Newport Center Drive, Suite 1205, Newport Beach, California 92660 (the “Purchaser”). This Agreement replaces and cancels the Securities Purchase Agreement dated September 15, 2005.
