This Second Amended and Restated Limited Liability Company Agreement (this “Agreement”) is made as of October 31, 2007, by and among Price Asset Management, Inc., an Illinois corporation (“Price” or the “Managing Member”), and the other parties who shall execute this Agreement, whether by separate instrument or by becoming direct signatories hereto, as members (each, a “Member,” and collectively, the “Members” which shall include the Managing Member unless the context otherwise requires).

This TRADEMARK SUBLICENSE AGREEMENT (“Agreement”) is made as of September 29, 2006 by and between Beeland Management Company, L.L.C., an Illinois limited liability company (“Company”) and RICI® Linked - PAM Advisors Fund, LLC, a Delaware limited liability company (“Sublicensee”). The Company and Sublicensee are sometimes hereinafter referred to individually as a “Party” and collectively as the “Parties.”
