This Twelfth Amended and Restated Limited Partnership Agreement (the “Limited Partnership Agreement”) is made as of March 11, 2011, by and between Merrill Lynch Alternative Investments LLC, a Delaware limited liability company, as general partner (the “General Partner”) of the Fund, and each other party who shall execute a counterpart of this Limited Partnership Agreement as a limited partner of the Fund or who becomes a party to this Limited Partnership Agreement as a limited partner by execution of a signature page or other instrument or otherwise and who is shown in the books and records of the Fund as a limited partner of the Fund (individually, a “Limited Partner” or, collectively, the “Limited Partners”) (the General Partner and the Limited Partners being collectively referred to herein as “Partners”).

THIS AMENDMENT TO THE TWELFTH AMENDED AND RESTATED LIMITED PARTNERSHIP AGREEMENT dated as of March 11, 2011 (the “Agreement”) of ML Select Futures I L.P. is made as of September 30, 2013 (this “Amendment”) by Merrill Lynch Alternative Investments LLC, a Delaware limited liability company (the “General Partner”), and the Limited Partners. Capitalized terms used herein, but not defined, shall have the same meanings assigned to them in the Agreement.
