THIS SECURITIES PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into as of October 9, 2020 (the “Agreement Date”) by and between BENEFIT STREET PARTNERS, LLC, having executive offices located at 9 West 57th Street, Suite 4920, New York, NY 10019 (the “Buyer”), and MOAB PARTNERS, L.P., having executive offices located at 152 West 57th Street, 9th Floor, New York, NY 10019 (the “Seller”).

In accordance with Rule 13d-1(k) under the Securities Exchange Act of 1934, as amended, the persons named below agree to the joint filing on behalf of them of a statement on Schedule 13D (including amendments thereto) with respect to the shares of common stock, $0.001 par value per share, of JAKKS Pacific, Inc., a Delaware corporation, and further agree that this Joint Filing Agreement be included as Exhibit 1 to such Schedule 13D.
