This Restricted Stock Bonus Agreement ("Agreement") is made between Key Technology, Inc., an Oregon corporation (the "Company"), and _______________ (the "Participant") under the Company's 2003 Restated Employees' Stock Incentive Plan (the "Plan"), as amended, effective as approved on _______________ by the Compensation Committee of the Company's Board of Directors. Capitalized Terms not otherwise defined shall have the meanings ascribed in the Definitions section of this Agreement.
