This Restricted Stock Agreement ("Agreement") is made between Key Technology, Inc., an Oregon corporation (the "Company"), (the "Participant") under the Company's Restated Employees' Stock Incentive Plan (the "Plan"). Capitalized Terms not otherwise defined shall have the meanings ascribed in the Definitions section of this Agreement.
