This is to confirm that, in consideration of the agreements hereinafter contained, the undersigned, ND Tax-Free Fund, Inc. (the “Fund”), an open-end, non-diversified, management investment company organized as a corporation under the laws of the State of North Dakota, has agreed that Integrity Funds Distributor, Inc. (“IFD”), shall be, for the period of this distribution agreement (the “Agreement”), the principal underwriter of shares issued by the Fund, including such classes of Shares as may now or hereafter be authorized (the “Shares”).
