THIS SECOND SUPPLEMENTAL INDENTURE (this "Second Supplemental Indenture"), dated as of June 29, 2001, is by and between STEWART ENTERPRISES, INC., a corporation duly organized and existing under the laws of the State of Louisiana (hereinafter called the "Company"), having its principal office at 110 Veterans Boulevard, Metairie, Louisiana 70005, and CITIBANK, N.A., a national banking association, as Trustee (hereinafter called the "Trustee").
