THIS FIFTH AMENDMENT TO THIRD AMENDED AND RESTATED REVOLVING CREDIT AGREEMENT (hereinafter called this "Amendment") is entered into effective as of July 31, 2001 (the "Effective Date"), among (a) TRICO MARINE OPERATORS, INC. ("Marine Operators"), a Louisiana corporation, TRICO MARINE ASSETS, INC. ("Marine Assets"), a Delaware corporation (each of Marine Operators and Marine Assets a "Borrower" and, collectively "Borrowers"), (b) TRICO MARINE SERVICES, INC.
