Elder (“Elder”) and The Exchange Bank, an Ohio state-chartered bank with its principal place of business located in Luckey, Ohio and a wholly-owned subsidiary of Exchange Bancshares, Inc. (the “Bank”) regarding Elder's resignation from employment.
