Camden Property Trust, a Texas real estate investment trust (the “Company”), proposes to issue and sell to Deutsche Bank Securities Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated (together, the “Underwriters,” which term shall also include any Underwriter substituted as hereinafter provided in Section 10 hereof), acting severally and not jointly, 3,375,000 common shares of beneficial interest, par value $.01 per share (“Common Shares”), of the Company (the “Firm Shares”). The Company also proposes to sell at the Underwriters’ option an aggregate of up to 506,250 additional Common Shares as provided in Section 3(b) hereof (the “Option Shares”). The Firm Shares and the Option Shares being purchased by the Underwriters are hereinafter called the “Shares.”
