This FIFTH AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) of JAPAN NUSCALE INNOVATION, LLC, a Delaware limited liability company (the “Company”), is made and entered into as of November 25, 2024, by and among IHI AMERICAS INC., a Delaware corporation (“IHI”), JGC AMERICA, INC., a Texas corporation (“JGC”), JAPAN BANK FOR INTERNATIONAL COOPERATION, a Japan corporation (“JBIC”), CHUBU GLOBAL INVESTMENT AMERICAS INC., a Delaware corporation (“CHUBU”), and the Company, and each other Person who at any time becomes a Member in accordance with the terms of this Agreement and the Act (as defined below).
