THIS CONSULTING AGREEMENT (this "Agreement") is entered into effective as of June 6th, 2001(the "Effective Date") by and between FUELNATION Inc. (the "Company") whose address is 1700 North Dixie Highway, Suite 125, Boca Raton, Florida 33432, and Edwin Ruh Jr., doing business as Veritas Venture Lab ("Consultant"), whose address is Four Crawford Street, Suite 8, Cambridge, MA 02139.

("Tower Communication"), whose address is 250 West Main Street, 1700 Lexington Financial Center, Suite 3100, Lexington, Kentucky 40507, hereinafter referred to as "ECHOSAT" or the "Consultant".
