This CREDIT AGREEMENT (this “Agreement”) is entered into as of August 1, 2011 among ONEOK PARTNERS, L.P., a Delaware limited partnership (the “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), CITIBANK, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer, and Barclays Bank PLC and Wells Fargo Bank, N.A., L/C Issuers.

THIS GUARANTY AGREEMENT (the “Agreement”), dated as of August 1, 2011 is made by ONEOK PARTNERS INTERMEDIATE LIMITED PARTNERSHIP, a Delaware limited partnership (the “Guarantor”) in favor of CITIBANK, N.A., a national banking association, as administrative agent (the “Administrative Agent”) for the several banks and other financial institutions (the “Lenders”) from time to time party to the Credit Agreement, dated as of the date hereof, by and among and ONEOK PARTNERS, L.P. (the “Borrower”), the Lenders, the Administrative Agent, Citibank, N.A., as an L/C Issuer and as Swing Line Lender, and the other L/C Issuers named therein (as further amended, restated, supplemented or otherwise modified from time to time, the “Credit Agreement”; capitalized terms used herein and not otherwise defined herein shall have the meanings assigned to such terms in the Credit Agreement).
