This Sub-Advisory Agreement (the “Agreement”) effective as of January 1, 2009 (the “Effective Date”), by and among American Fidelity Dual Strategy Fund, Inc., a Maryland corporation (the “Fund”), American Fidelity Assurance Company, an insurance company organized under the laws of the State of Oklahoma (the “Advisor”), and Wedge Capital Management LLP (the “Sub-Advisor”), amends and restates in its entirety the Sub-Advisory Agreement by and among the parties hereto dated October 3, 2005, as amended February 22, 2006 (the “Previous Agreement”).
