This letter amends the terms of the Letter Loan Agreement dated November 30, 1995 (as modified by our letter agreement dated July 18, 1996, the "Loan Agreement") between NBD Bank, a Michigan banking corporation, (the "Bank"), United Industrial Corporation, a Delaware corporation, ("United Industrial"), and Detroit Stoker Company, a Michigan corporation, ("Detroit Stoker"). Terms used and not otherwise defined in this letter shall have the meanings ascribed to them in the Loan Agreement.
